1. Acceptance of Terms and Eligibility

By accessing or using Imperial Analytics ("the Service"), you agree to be bound by these Terms of Service. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity. If you do not agree to these terms, you may not access or use the Service.

2. Service Description

Imperial Analytics is a trading journal and analytics platform designed to help traders track, analyze, and improve their trading performance. The Service provides tools for trade logging, performance metrics, and AI-powered insights.

3. Financial and AI Disclaimer

IMPORTANT: Imperial Analytics is NOT a financial advisor.

All content, data analysis, AI-generated insights, and information provided through this platform are for informational and educational purposes only. Nothing on this platform constitutes financial advice, investment advice, trading advice, or any recommendation to buy, sell, or hold any security, futures contract, option, cryptocurrency, or any other financial instrument.

Past performance is not indicative of future results. Trading involves substantial risk of loss. You should consult a qualified financial advisor before making any investment decisions.

AI-generated insights, summaries, and recommendations produced by the Service may be incomplete, inaccurate, or inconsistent across sessions. The Service does not warrant the correctness of any AI output, and you are solely responsible for verifying any AI-generated content before acting on it. The Service applies sample-size minimums and confidence tiers to gate insights, but those gates are heuristics, not guarantees of correctness.

4. Subscription and Billing

  • Subscription fee: $30.00 per month
  • Billing is recurring monthly until cancelled
  • You may cancel your subscription at any time
  • No refunds for partial months
  • Price changes will be notified 30 days in advance

Initiating a chargeback or payment reversal without first contacting us at support@imperialanalytics.ai may result in immediate suspension of your account and forfeiture of any remaining service period.

5. User Data and Privacy

You retain ownership of your trading data. We process your data to provide the Service, including:

  • Storing and organizing your trades
  • Calculating performance metrics
  • Generating AI-powered insights via a third-party AI processor (named in our Privacy Policy)
  • Creating visualizations and reports

Content license. You retain all rights to the trades, notes, strategies, and other content you submit to the Service. You grant Imperial Analytics a limited, non-exclusive, royalty-free, worldwide license to host, process, display, and analyze that content solely for the purpose of providing the Service to you. This license terminates when the underlying content is deleted, except for residual copies in routine backups, which are purged on the schedule described in the Privacy Policy.

6. Acceptable Use

You agree not to:

  • Reverse engineer or attempt to extract source code
  • Use automated systems to access the Service
  • Share your account with others
  • Use the Service for any illegal purpose
  • Attempt to breach security measures
  • Extract, replicate, or attempt to reverse-engineer the prompts, system instructions, or model configurations used by the Service's AI features
  • Use AI-generated outputs from the Service to train, fine-tune, or develop a competing product

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

IN NO EVENT SHALL IMPERIAL ANALYTICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF IMPERIAL ANALYTICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IMPERIAL ANALYTICS' TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO IMPERIAL ANALYTICS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

9. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms.

10. Governing Law

These terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction.

11. Affiliate Programs

Imperial Analytics participates in affiliate programs with select brokers (currently Tradovate and NinjaTrader). When you open a broker account through one of our referral links, we may earn a commission at no cost to you. Affiliate participation does not influence which features or integrations we build, and we only participate with brokers we already use ourselves.

12. Indemnification

You agree to defend, indemnify, and hold harmless Imperial Analytics LLC, its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right, including intellectual property and privacy rights; or (d) any content you submit to the Service.

13. Dispute Resolution and Binding Arbitration

Informal resolution. Before filing a claim, you agree to attempt to resolve the dispute by contacting support@imperialanalytics.ai and allowing thirty (30) days for good-faith negotiation.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND IMPERIAL ANALYTICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims relating to intellectual property, unauthorized access to the Service, or breach of confidentiality obligations.

Opt-out. You may opt out of this arbitration agreement by sending written notice to support@imperialanalytics.ai within thirty (30) days of first accepting these Terms. Opting out will not affect any other provision of these Terms.

14. DMCA Policy

Imperial Analytics respects the intellectual property rights of others. If you believe content on the Service infringes your copyright, send a notice to support@imperialanalytics.ai including: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the owner; and (f) your physical or electronic signature.

Counter-notices may be submitted using the same channel. Repeat infringers will have their accounts terminated.

15. General Provisions

Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

Survival. Sections 3 (Financial and AI Disclaimer), 5 (content license), 6 (Acceptable Use), 7 (Disclaimers and Limitation of Liability), 12 (Indemnification), 13 (Dispute Resolution), and this Section 15 survive any termination of these Terms.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets without notice to you.

Force Majeure. Imperial Analytics is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, government action, pandemic, or third-party service outages.

Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Imperial Analytics regarding the Service and supersede any prior agreements on the same subject matter.
